Wholesale Terms & Conditions

These Wholesale Terms & Conditions apply to approved wholesale accounts and wholesale orders with Sensory Assist Pty Ltd (ABN 98 658 396 653), trading as Sensory Assist (Sensory Assist, we, us or our).
They are intended for Australian retail businesses purchasing Sensory Assist products for resale. By applying for a wholesale account and, once approved, placing a wholesale order, you agree to these terms.
1. Wholesale account eligibility
Wholesale accounts are available only to genuine Australian retail businesses purchasing products from Sensory Assist for resale to their customers. Applicants must hold a valid ABN and provide accurate, current business and contact information.
Schools, therapists, allied health clinics, disability service providers, healthcare organisations, childcare services, government organisations and other organisations purchasing products for their own use are not eligible for a wholesale account. These customers can use our NDIS and invoice ordering options.
Sensory Assist reviews each application before wholesale pricing and ordering access is enabled. Approval is not automatic. We may decline an application where the eligibility requirements are not met, information cannot reasonably be verified, or there is another legitimate commercial or compliance reason.
2. Your wholesale account
Your wholesale account is for the approved retail business only. Account access must not be shared with another business or used to purchase on behalf of another reseller.
You must keep your business, contact, billing and delivery information current and let us know if there is a material change to your business or the way you use the account.
Wholesale prices, non-public price lists and other non-public wholesale account information are confidential and must not be publicly displayed or shared with another business, except with your professional advisers where reasonably necessary.
3. Wholesale pricing, GST and recommended retail prices
Wholesale prices are in Australian dollars and include GST unless the wholesale store, invoice or quote clearly states otherwise.
Prices may change from time to time. Any change applies to future orders and does not retrospectively alter the price of an order we have already accepted, except where both parties agree to a correction.
If Sensory Assist provides a recommended retail price or RRP, it is a recommendation only. Retailers remain free to determine their own resale prices.
Wholesale pricing does not automatically combine with retail discount codes, promotions or other offers unless we expressly state that it does.
4. Orders and order acceptance
Submitting an order is an offer to purchase the products in that order. An order is accepted when Sensory Assist confirms the order or begins fulfilment.
All orders are subject to product availability. If an item becomes unavailable after an order is placed, we will contact you and provide a reasonable option, which may include backordering the item, removing it from the order and refunding the affected amount, or another solution agreed with you. We will not substitute a materially different product without your agreement.
Any minimum order value or minimum quantity that applies will be displayed in the wholesale store, shown on a quote, or otherwise communicated before the relevant order is placed.
If there is an obvious pricing or product information error, we may contact you before fulfilment to correct it. If you do not agree to the correction, the affected item or order can be cancelled and any amount paid for it will be refunded.
5. Payment
Unless Sensory Assist has expressly approved payment terms for your account in writing, payment is due in full before dispatch. Available payment methods will be shown at checkout or on the relevant invoice.
If payment terms are approved, invoices must be paid by the due date shown on the invoice. If an amount is overdue, we may pause further wholesale orders while the overdue amount is being resolved.
6. Shipping and delivery
Shipping charges and available delivery methods are shown at checkout, quoted before an order is confirmed, or otherwise communicated to you. You are responsible for checking that the delivery address is correct before submitting an order.
Dispatch and delivery timeframes are estimates unless we expressly agree to a guaranteed timeframe in writing. We will take reasonable steps to keep you informed of material delays that we become aware of.
If a parcel is returned to Sensory Assist because of an incorrect address, failure to collect or refusal of delivery, the actual return shipping and any re-delivery cost may be charged to the retailer before the order is re-sent or refunded.
7. Checking deliveries
Please check wholesale deliveries promptly. If an order is short, incorrect or visibly damaged in transit, contact us as soon as reasonably possible, preferably within 5 business days of delivery, with the order number and enough information for us to investigate.
This requested notification period helps us resolve freight and packing issues quickly. It does not remove any right or remedy that cannot lawfully be excluded.
8. Change-of-mind wholesale returns
Wholesale orders do not have an automatic change-of-mind return right. If you would like to request a return of saleable stock for another reason, contact us before sending anything back.
If Sensory Assist agrees to a discretionary wholesale return, we will confirm the return conditions, any reasonable restocking fee and responsibility for freight before the return is accepted. Products must not be returned without prior approval.
For hygiene and safety reasons, opened chewable products, opened personal care items and other products that cannot safely be resold will not be accepted for change-of-mind return.
9. Faulty products and product issues
If you believe a product supplied by Sensory Assist is faulty, unsafe, materially different from what was ordered, or has another product issue, contact us promptly with the order details and information reasonably needed to assess the issue, such as photographs, video, batch information or details of the reported fault.
Depending on the circumstances and applicable law, an appropriate outcome may include replacement, repair, credit, refund or another agreed solution.
Nothing in these terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that cannot lawfully be excluded or limited.
10. Retailer responsibilities
Retailers must sell and promote Sensory Assist products lawfully, safely and accurately. In particular, you must:
- follow product instructions, safety information, warnings and age guidance supplied with the product;
- not remove or obscure required labels, warnings or instructions;
- not make medical, therapeutic, developmental or safety claims that are false, misleading or unsupported;
- not materially modify, repackage or relabel a product in a way that could affect its safety, compliance, identity or instructions without our prior written approval; and
- cooperate reasonably with any product safety notice, withdrawal or recall, including stopping sale where required.
11. Resale and distribution
Wholesale products are supplied for retail resale to end customers through the approved retailer's own retail business. They must not be on-sold wholesale to another reseller, distributor or wholesaler without Sensory Assist's prior written approval.
Nothing in these terms sets a minimum resale price. Retailers control their own resale pricing.
12. Product images, descriptions and intellectual property
While your wholesale account is active, Sensory Assist gives you a limited, non-exclusive permission to use product images, descriptions, logos and other marketing material that we specifically supply or make available for retailer use, solely to market and sell genuine Sensory Assist products purchased from us.
You must not use our intellectual property in a misleading way, materially alter safety information, suggest that you are Sensory Assist, or imply an exclusive relationship, endorsement or partnership that has not been agreed in writing.
This permission ends when your wholesale account ends, except to the extent reasonably necessary to sell remaining genuine stock already purchased from us.
13. Product changes and discontinued items
We may update product specifications, packaging, colours, ranges or availability from time to time. We may also discontinue products. Where a change materially affects an accepted but unfulfilled order, we will contact you and provide a reasonable option before supplying a materially different product.
14. Account suspension or closure
We may suspend or close a wholesale account where there is a serious or repeated breach of these terms, fraud or suspected fraudulent activity, misuse of wholesale access, material overdue amounts, a product safety or regulatory concern, or the business no longer meets the wholesale eligibility requirements.
Where reasonably practical, we will give you notice and an opportunity to address the issue before closing the account. We may act immediately where necessary to protect customers, product safety, legal compliance or the security of the account.
Closing a wholesale account does not cancel amounts already owed or accepted orders unless we separately agree otherwise.
15. Privacy
Personal information provided in a wholesale application, account or order is handled in accordance with the Sensory Assist Privacy Policy and applicable privacy law. We may use the information to assess applications, administer accounts, process orders, prevent fraud, provide support and meet legal obligations.
16. Responsibility and liability
Each party is responsible for loss caused by its own breach of these terms, negligence or unlawful conduct.
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the relevant contract was formed.
Sensory Assist is not responsible for claims or losses caused by a retailer's unauthorised product modification, removal of warnings, misleading representations, unlawful resale practices or use of a product contrary to supplied instructions.
Nothing in this section limits liability where doing so would be unlawful.
17. Changes to these terms
We may update these Wholesale Terms & Conditions from time to time for legal, operational or commercial reasons. Material changes will apply prospectively. We will publish the updated terms and, where reasonably appropriate, notify approved wholesale customers using their account contact details.
Updated terms apply to orders placed after the updated terms take effect. They do not retrospectively change an order already accepted unless both parties agree or the law requires otherwise.
18. Relationship with other Sensory Assist terms
These Wholesale Terms & Conditions apply specifically to wholesale accounts and wholesale orders. Sensory Assist's general website terms and privacy policy also apply where relevant.
If there is an inconsistency between these Wholesale Terms & Conditions and a general website term in relation to a wholesale order, these Wholesale Terms & Conditions apply to that wholesale order to the extent permitted by law.
19. Disputes
If a concern arises, please contact us first so we can try to resolve it promptly and in good faith. Both parties should provide the information reasonably needed to understand and resolve the issue.
20. Governing law
These terms are governed by the laws of New South Wales, Australia and applicable Commonwealth laws. The parties submit to the courts and tribunals that have jurisdiction in New South Wales.
